Allgemeine Geschäftsbedingungen

1. Allgemeine Vorschriften

Voraussetzung für die Leistungserbringung ist die Akzeptanz der allgemeinen Geschäftsbedingungen (Vereinbarung). Diese Vereinbarung wird zwischen perform IT GmbH (perform IT) und (LN) dem Lizenznehmer geschlossen. Für den Fall, dass der LN für Dritte handelt, versichert er hiermit, dass er befugt ist, für diese dritte Partei Rechtsgeschäfte rechtswirksam abzuschliessen. Sind LN und Nutzer nicht identisch, verpflichtet sich der LN, den Nutzer zur Einhaltung der in den nachfolgenden Klauseln festgelegten Nutzungsbedingungen zu verpflichten und ihn über alle nutzungsbezogenen Inhalte (auch die nutzungsbezogenen Inhalte, on denen nicht explizit auf den Nutzer Bezug genommen wird) dieser allgemeinen Geschäftsbedingungen zu informieren.  

Distributoren sind ebenfalls verpflichtet zu gewährleisten, dass bei jeder Unterlizenzierung (egal ob einfach oder in einer Kette von Unterlizenzierungen durch mehrere Distributoren) die nutzerbezogenen Inhalte dieser Vereinbarung an den bzw.an alle Nutzer in der Kette weitergegeben werden und diese/r zur Einhaltung dieser Regelungen verpflichtet wird/werden.

perform IT behält sich vor, diese Vereinbarung zu modifizieren, zu ändern oder anzupassen. Für den Fall, dass das den von perform IT geschuldeten Leistungsumfang oder dessen Vergütung betrifft, muss das dem LN mindestens 4 Wochen vor Inkrafttreten der Änderung mitgeteilt werden. In diesem Fall ist der LN berechtigt, den vorliegenden Vertrag zu dem Termin zu kündigen, an dem die Änderung in Kraft getreten wäre. Wenn der LN innerhalb der Frist von 4 Wochen nicht widerspricht, werden die Änderungen Vertragsbestandteil.

perform IT stellt dem LN die Lizenz(en) als reine Webanwendung für jeweils einen namentlich genannten Nutzer zur Verfügung (nutzerbezogene Lizenz). Damit sich der Nutzer in den geschützten Bereich der Landingpage einloggen kann, erhält er Log-in Daten (Benutzername und Passwort). Er ist verpflichtet, die Zugangsdaten geheim zu halten und als vertrauliche Informationen zu behandeln. Keinesfalls darf er seinen Benutzernamen oder /und sein Passwort anderen Personen zugänglich machen. Sollte der Nutzer dagegen verstoßen, behält perform IT sich sowohl zivil- als auch strafrechtliche Schritte vor.

Allen anderen Geschäftsbedingungen des LN wird hiermit widersprochen. Sie werden nicht Vertragsbestandteil, auch wenn er sich in Auftragsformularen oder Vertragsdokumenten darauf beruft.

2. Definitionen

Auftragsformular: Durch Unterzeichnung des Auftragsformulares durch den LN und die Annahme oder Ausführung durch perform IT entsteht die Vertragsbeziehung zwischen  perform IT und dem LN.
Das Auftragsformular enthält alle notwendigen Angaben zu Leistung und Gegenleistung, den Namen der Nutzer sowie einen Bezug auf die allgemeinen Geschäftsbedingungen und die Datenschutzrichtlinien.

Distributor: Eine natürliche oder juristische Person, die in eigenem Namen und auf eigene Rechnung die Produkte von perform IT vertreibt. Dazu muss der Distributor mit perform IT einen Distributionsvertrag schliessen, der das Distributionsverhältnis begründet und hinsichtlich der Rechte und Pflichten auf die allgemeinen Geschäftsbedingungen verweist. Der Vertrag kann Sonderregelungen enthalten, die dann den allgemeinen Geschäftsbedingungen vorgehen.

Lizenznehmer (LN): LN kann eine natürliche oder juristische Person sein, er muss nicht mit dem Nutzer identisch sein, es kann sich auch um einen Distributor handeln.

Nutzung: Installation, Hochladen und Betrieb der Software auf dem System des Nutzers gemäß dieser Vereinbarung.

perform IT : Nur perform IT GmbH und keine verbundenen Unternehmen (definiert in §§ 15 ff AktG). Es umfasst auch keine Zulieferer oder Subunternehmer.

SaaS: Software as a Service, es schliesst die Nutzung der Software über einen begrenzten Zeitraum und die Inanspruchnahme von Cloudkapazitäten eines Drittanbieters ein.

Software: Die Standardsoftware mySalesDrive.com sowie kundenspezifische Versionen (customized versions) und alle Waren- oder Dienstleistungszeichen, die perform IT zur Vermarktung der Software (Objektcode) nutzt, z.B. alle momentanen und zukünftigen Komponenten, Module, Updates, Upgrades und Unterlagen wie z.B. Handbücher . Nicht beinhaltet sind Fremdsoftwarekomponenten die perform IT nicht entwickelt hat und an denen perform IT keine Rechte besitzt.

Update: Leichte Verbesserungen oder Behebung von Fehlern der Software.

Upgrade: Eine neue Version der Software mit neuen Funktionalitäten.

3. Vertragsgegenstand/Leistungsumfang

Gegenstand dieser Vereinbarung ist die Einräumung eines einfachen, nicht exklusiven und nicht übertragbaren zeitlich begrenzten Nutzungsrechts an der Software (SaaS).Einzelheiten wie z.B. Anzahl der Lizenzen, Softwareprofil, Preis oder Nutzungsdauer sind dem Auftragsformular zu entnehmen. Soweit der LN Distributor ist, hat er das Recht, unterzulizensieren.
Zusätzliche Dienstleistungen wie z.B. Customizing, Installation und Konfigurierung der Software werden gesondert vereinbart und in Rechnung gestellt.

Für Distributoren stellt perform IT auf Wunsch eine kundenspezifische Software mit Distributoren-logo an einer bestimmten Stelle der Benutzeroberfläche der Software zur Verfügung. Der Distributor ist verpflichtet, nur diese kundenspezifische Version zu benutzen. Er hat weder Recht noch Anspruch darauf, dass perform IT ihm eine andere als diese kundenspezifische Version zur Verfügung stellt.

Im Allgemeinen können mit der Software TCO (Total Cost of Ownership) für Papierausgabe- und Scanner- sowie sonstige IT-Systeme berechnet werden. Bezüglich der TCO-Berechnung für die IST-Situation des Kunden hat der Nutzer Zugang zu allen Gerätedaten in der Datenbank. Was die TCO-Berechnung der SOLL-Situation betrifft, hat der Nutzer zu allen Daten Zugang, die er in sein Portfolio hochgeladen hat.

perform IT stellt den Zugang zu der Software (nur im Objektcode) via Internet zur Verfügung. Jeglicher Zugriff auf den Source Code ist nicht Gegenstand dieser Vereinbarung.

Die Nutzung erfolgt in Übereinstimmung mit der Vereinbarung und dem Auftragsformular.

Nutzt der LN Software oder Services von anderen Anbietern, regelt er dies selbst vertraglich mit dem betreffenden Anbieter. perform IT haftet für keinerlei Schäden, die durch die Benutzung von Fremdsoftware oder Inanspruchnahme von Serviceleistungen anderer Anbieter entstehen.

Dies gilt gleichermaßen und insbesondere für Signalübertragung oder andere Telekommunikationsleistungen gemäß § 3, Nr. 24 TKG, dies ist nicht Vertragsgegenstand.

4. Technischer Support

Die Systemvoraussetzungen für mySalesDrive.com sind einsehbar unter www.mySalesDrive.com.
Sollte es hierbei Änderungen geben, wird perform IT diese -wenn möglich- 3 Wochen vorher ankündigen.

Zeitlicher und inhaltlicher Umfang

a) zeitlich

Support ist innerhalb der folgenden Zeiten verfügbar: Montag-Donnerstag 8.30-17.00 Uhr (MEZ) und Freitag 8.30 - 16.00 Uhr (MEZ), An gesetzlichen Feiertagen findet kein Support statt.

b) inhaltlich

Support wird in englischer und deutscher Sprache zur Verfügung gestellt.

Support wird telefonisch, per e-mail und remote über z.B. Teamviewer angeboten.

Pro Lizenz und pro Monat sind 2 Stunden Support in der monatlichen Nutzungsgebühr enthalten. Darüber hinausgehender Support wird mit 60 € zzgl. Mwst. pro angefangener halben Stunde berechnet. Eine Überschreitung der berechnungsfreien Supportzeit wird dem Nutzer vorher angekündigt.

Der Umfang der Supportdienstleistungen beschränkt sich auf Helpdesk-Service und periodische Updates.

Upgrades werden dem LN bei Erscheinen angeboten und sind kostenpflichtig.

Technischer Support ist auf die Unterstützung der technischen Funktionen beschränkt, kaufmännische Problemstellungen sind nicht Gegenstand der Supportleistungen.

Support wird ausschliesslich für Software von perform IT geleistet. Er umfasst keine Dienstleistungen, die Konfiguration und /oder Installation oder Fehlerbehebung von Hard- oder Software von anderen  Anbietern betreffen. perform IT kann einen aus Hard- oder Software sowie Dienstleistungen von anderen Anbietern resultierenden Leistungsverlust nicht beeinflussen.

Procedere bei Support Anfragen:

Die Annahme jeder Supportanfrage, die nicht ad hoc gelöst werden kann, soll umgehend bestätigt werden. Ohne weitere Aufforderung wird perform IT dann eine Rückantwort senden.

Bei einer Rückantwort auf eine Supportanfrage sollte perform IT den vorliegenden Fehler erkannt und bewertet haben, der Support sollte einen Lösungsansatz definiert haben und einen möglichen Arbeitsplan zur Problembeseitigung vorlegen können.

Sollte ein Fehler technisch nicht einfach zu lösen sein, dann wird perform IT zumindest über einen Zeitplan der weiteren Vorgehensweise informieren.

Als Fehlerbehebung sollte perform IT eine Lösung bereitstellen, welche das vorliegende Problem vollständig löst.

Reaktionszeiten und Schweregrade

Die Reaktionszeiten für die Rückantwort und Fehlerbehebung sind im Folgenden definiert.

Schweregrad 1 (S1): Kritischer Fehler

Das Produkt ist nicht mehr funktionstüchtig und der  Nutzer hat keine Möglichkeit mehr, mit dem Produkt zu arbeiten. Wichtige Funktionen sind nicht verfügbar. Die Fehler haben zum Absturz beziehungsweise Stillstand des Produktes geführt.

Fehlerbehebung innerhalb: 5 Arbeitstage

Schweregrad 2 (S2): Fehler

Das Produkt oder Funktionen des Produktes sind nur eingeschränkt verfügbar. Der Fehler betrifft keine wesentlichen Funktionen, der Nutzer ist allerdings in seinen Arbeitsabläufen sehr eingeschränkt.

Fehlerbehebung innerhalb: 10 Arbeitstage

Schweregrad 3 (S3): Leichter Fehler

Das Produkt weist leichte Fehler auf, welche die wesentlichen Funktionen des Produktes nicht einschränken. Die Arbeitsabläufe des Nutzers sind dadurch nur gering oder gar nicht eingeschränkt.

Rückantwort innerhalb: 5 Arbeitstage

Fehlerbehebung innerhalb: 20 Arbeitstage

Schweregrad 4 (S4): Wartung

Das Produkt ist funktionstüchtig, es sind aber Änderungen notwendig, welche mit dem nächsten Update durchgeführt werden können.

Rückantwort innerhalb: 10 Arbeitstage

Fehlerbehebung innerhalb: 30-40 Arbeitstage

5. Vergütung

Die monatliche Vergütung beinhaltet die Nutzungsgebühr, Support im vereinbarten Umfang und Softwareupdates. Die Kosten, die für die Benutzung der Cloud anfallen, werden wie im Auftragsformular geregelt, volumenabhängig oder in Form einer Pauschale zusätzlich in Rechnung gestellt.

Die Währung ist €.

Alle Preise sind rein netto ohne Mehrwertsteuer und ohne Berücksichtigung zusätzlicher Kosten wie z.B.für Upgrades der Software oder Trainings und Websessions, notwendige Hardware, Fremdsoftware (z.B. Microsoft Office), Kosten für Telekommunikationsserviceleistungen, u.s.w.

Steuern, Zölle und Abgaben muss der LN tragen. Soweit gesetzlich zulässig muss der LN perform IT von allen Ansprüchen freistellen, die der Zoll und andere Behörden sowie Dritte an perform IT richten.

Die monatliche Vergütung für SaaS wird gemäß der Nutzungsvereinbarung berechnet und fällig gestellt.

Offene Beträge können per Lastschrift eingezogen werden. Dazu muss der LN perform IT ein SEPA-Basislastschriftmandat unterzeichnen. Gebühren für Rücklastschriften aufgrund eines Verschuldens das vom LN zu vertreten ist, werden dem LN in Rechnung gestellt.

Die Pre-Notifikationsfrist ist auf 2 Tage verkürzt.

Falls der LN keinen Bankeinzug wünscht, fallen bei jeder Rechnung Bearbeitungsgebühren in Höhe von 5 € zzgl. Mwst. an.

Die Geltendmachung von Verzugszinsen richtet sich nach den gesetzlichen Bestimmungen.

perform IT kann eine Anpassung der Vergütung nach vernünftigem Ermessen verlangen. Dies wird dem LN mindestens 4 Wochen vor Inkrafttreten der Änderung mitgeteilt. In diesem Fall ist der LN berechtigt, den vorliegenden Vertrag zu dem Termin zu kündigen, an dem die Änderung in Kraft getreten wäre. Wenn innerhalb der Frist von 4 Wochen kein Widerspruch erfolgt, werden die Änderungen Vertragsbestandteil.

Befindet der LN sich in Zahlungsverzug ist perform IT –ungeachtet anderer rechtlicher Möglichkeiten- berechtigt, die Leistungen einzustellen, insbesondere den Account des LN zu schliessen und den Zugang zur Software sofort und ohne vorherige Ankündigung zu sperren. perform IT sollte –soweit das mit vertretbarem Aufwand möglich ist- derartige Maßnahmen zu gegebener Zeit per e-mail ankündigen.

6. Vergabe von Aufgaben an Dritte

Der LN ist damit einverstanden, dass perform IT Verpflichtungen aus dieser Vereinbarung nicht selbst bzw. auf eigenen Systemen oder eigener Infrastruktur durchführt sondern einen oder mehrere Dienstleister oder Subunternehmer auswählen und wechseln kann, mit denen perform IT entsprechende Serviceverträge schliesst (z.B. Prozessorleistung zur Ausführung von Serviceleistungen, etc.). perform IT kann die Dienstleister / Subunternehmer nach vernünftigem Ermessen selbst auswählen.

Soweit dies nicht den Cloud Provider ( aktuell Amazon Web Services Inc., USA ) betrifft sind die Kosten durch die monatliche Gebühr für SaaS gedeckt. Die Kosten für die Cloudnutzung werden dem LN je nach Volumenverbrauch oder pauschal gemäß dem Auftragsformular zusätzlich in Rechnung gestellt.

7. Verfügbarkeit

Der LN verzichtet ausdrücklich darauf, die Software in einer speicherfähigen Form zu erhalten, es handelt sich um eine reine web-Anwendung.

perform IT kann eine Verfügbarkeit der Software von 97% im Jahresdurchschnitt bestätigen, bezogen auf ein Zeitfenster von Montag bis Freitag 8:00 -17:00 CET , außer an deutschen Feiertagen.

Zusätzlich muss die Verfügbarkeit für perform IT’s eigene Wartungsarbeiten und Dienstleistungen (z.B: Upload von Updates, Datenbankpflege, Tests, etc.) um bis zu 8 Stunden pro Monat verringert werden. Wenn unter vernünftigen Gesichtspunkten möglich, wird perform IT diese Wartungsarbei-ten außerhalb der Geschäftszeiten durchführen.

8. Nutzungsrecht

Abhängig von der pünktlichen Zahlung der Vergütung erhält der LN ein einfaches, nicht exklusives, nicht übertragbares Nutzungsrecht an der Software. Das Recht ist zeitlich auf die Dauer der Vertragslaufzeit beschränkt. Hinsichtlich der Lizenzen gilt die vertraglich festgelegte Anzahl mit den jeweils namentlich hinterlegten Nutzern. Eine Untervermietung oder anderweitige Ermöglichung der Nutzung durch andere als den genannten Nutzer ist ausdrücklich untersagt, es sei denn, der LN ist Distributor.

Ohne vorherige schriftliche Genehmigung durch perform IT ist es untersagt, die Software oder Teile davon zu modifizieren, zu verändern, anzupassen, zu reproduzieren, zu übersetzen, weiterzugeben oder anderweitig zugänglich zu machen oder zu verbreiten, zu kopieren, zurückzuentwickeln oder zu dekompilieren ausser innerhalb der engen Grenzen zur Interoperabilität und anderer im UrhRG aufgeführten Gründe. Die diesbezüglichen gesetzlich festgelegten Rechte bleiben unberührt.

Weiterhin ist es untersagt, die Handbücher zu kopieren, zu verbreiten, zu verändern oder anzupassen. Dies gilt nicht für Distributoren, soweit sie vertraglich dazu berechtigt sind oder eine schriftliche Erlaubnis von perform IT vorliegt.

Jede Verletzung der Nutzungsbedingungen, insbesondere jegliche Verletzung der oben genannten Vorschriften berechtigt perform IT zur sofortigen Sperrung des Zugangs, der LN verliert automatisch alle vertraglich zugesicherten Rechte.

9. Datensicherheit/Backups

Die alleinige Verantwortung für die Datensicherheit und die Backups obliegt dem LN. Es wird daher empfohlen, dass dieser regelmäßig backups durchführt gemäß seinen geschäftlichen Anforderungen indem er die SalesDrive Frontend-Funktion im user interface der Software benutzt. Jegliche Haftung von perform IT für Schäden aufgrund von Datenverlust ist ausdrücklich ausgeschlossen, es sei denn, diese Schäden wären auch bei ordnungsgemäßer Datensicherung und unter Beachtung aller Vorschriften durch den LN aufgetreten. In letzterem Fall greifen die vereinbarten Haftungsbeschrän-kungen. Die Beweislast für eine ordnungsgemäße Datensicherung liegt beim LN.

Wichtiger Hinweis für Nutzer bezüglich der Datensicherheit im Zusammenhang mit der Capture IT App, die perform IT im App Store zur Verfügung stellt:

perform IT empfiehl dringend, dass der Nutzer die auf dem iPad einstellbare automatische Updatefunktion (Settings > iTunes & App Store > Automatic Downloads for Apps/Updates) für den Zeitraum der Datenaufnahme beim Kunden vor Ort deaktiviert, einschliesslich des Uploads der Daten vom iPad in die cloud.

Der Nutzer muss auch sicherstellen, dass alle offline back ups für das iPad einschliesslich aller Apps und deren Daten durchgeführt wurden, bevor die automatische Updatefunktion wieder aktiviert oder manuell Updates durchführt werden. Andernfalls besteht die Gefahr des Verlusts der lokal gespeicherten Projektdaten, falls das offline Update nicht fehlerfrei durchgeführt werden kann.

Für die Backups des iPads ist der Nutzer alleiniger Verantwortlicher. Das gilt auch für den Fall, dass perform IT im Zusammenhang mit einem Rahmenvertrag die Durchführung von Backups übernommen hat. Diese Verpflichtung betrifft lediglich Backups von SalesDrive in der Cloud. Backups von offline Software ist davon ausgeschlossen und liegt in der alleinigen Verantwortung des Nutzers. Perform IT ist zu keinerlei Supportleistungen für diese Updates verpflichtet, jegliche Haftung für diese Updates ist ausdrücklich ausgeschlossen.

10. Vertragslaufzeit /Kündigung

Die Vereinbarung hat eine Grundlaufzeit von 12 Monaten. Nach Ablauf der Grundlaufzeit verlängert sich der Vertrag automatisch jeweils um weitere 12 Monate, wenn er nicht von einer der Parteien schriftlich mit einer Frist von 3 Monaten zum Ende der jeweilen Vertragslaufzeit gekündigt wird.

Das Recht jeder Partei zur fristlosen Kündigung aus wichtigem Grund (§ 314 BGB) bleibt unberührt.

Ein wichtiger Grund liegt z.B. vor, wenn der LN oder der Nutzer die Nutzungsvereinbarung und deren Beschränkungen weiter missachtet obwohl er von perform IT dazu aufgefordert wurden, dies zu unterlassen.

Die Kündigung hat schriftlich zu erfolgen.

11. Verpflichtungen nach Beendigung des Vertrages

Nach Vertragsende werden alle Daten innerhalb von 30 Tagen von allen Systemen von perform IT und des Cloud-Providers gelöscht. Auf Wunsch und auf Kosten des LN werden ihm die Daten ausgehändigt. Das dafür benutzte Speichermedium wählt perform IT nach pflichtgemäßem Ermessen aus. Der LN muss die Aushändigung der Daten spätestens eine Woche vor Ende der Vertragslaufzeit schriftlich beantragen.
perform IT garantiert keine korrekte Aufnahme der Daten in die Software/Plattform/das System eines neuen Dienstleisters.

12. Web Sessions / Trainingsveranstaltungen

perform IT bietet sowohl dem LN als auch sonstigen Interessenten produkt- sowie branchenbezo-gene Trainingsveranstaltungen an. Diese können online als Web Sessions oder vor Ort, wahlweise bei perform IT oder einem vorgegebenen Ort stattfinden.
Bei vor-Ort Veranstaltungen fallen entweder Reise-, Übernachtungs- und Verpflegungs- sowie sonstige Kosten der Teilnehmer oder des Trainers von perform IT an. Diese Kosten trägt der LN.
Bei einer verbindlich gebuchten Veranstaltungen ist eine Absage bis 6 Wochen vor Veranstaltungs-beginn kostenfrei möglich. Innerhalb von 6 Wochen vor Beginn der Veranstaltung beträgt die Stornogebühr 30 % des Veranstaltungspreises, innerhalb von 4 Wochen vor Beginn der Veranstaltung 50 % und innerhalb 1 Woche vor Beginn der Veranstaltung 80 %. Dem LN wird die Möglichkeit des Nachweises eingeräumt, dass im Einzelfall ein geringerer Schaden entstanden ist.

13. Recht am geistigen Eigentum

perform IT’s Warenzeichen und alle anderen Rechte am geistigen Eigentum an den Produkten – insbesondere der vertraglich relevanten Software – verbleiben einzig und alleine bei perform IT. Ohne vorherige schriftliche Erlaubnis dürfen sie weder vom LN oder Nutzer noch von Dritten genutzt werden.

Die Parteien sind sich darüber einig, das perform IT während der Vertragslaufzeit in der anderweiti-gen Vermarktung der Software frei ist.

14. Vertrauliche Informationen

„Vertrauliche Informationen” sind alle Informationen (egal ob schriftlich oder in anderer Form) die der LN oder der Nutzer von perform IT in oder im Zusammenhang mit dieser Vereinbarung erhält.

Vertrauliche Informationen sind z.B. Existenz und der Inhalt dieser Vereinbarung, Aufträge oder jegliche Information, die perform IT nach pflichtgemäßem Ermessen als vertraulich einstuft (z.B. perform IT’s Geschäftsgeheimnisse, know-how und vertrauliche Informationen bezüglich der Mitarbeiter von perform IT).

Der LN oder der Nutzer muss alle Dokumente, Daten oder Informationen die er von perform IT schriftlich, in elektronischer oder anderer Form erhält strikt vertraulich behandeln und darf sie nicht an Dritte weitergeben bzw. Dritten davon keine Kenntnis erlangen lassen. Weiterhin muss er perform IT in Kenntnis setzen, wenn sich die Umstände ändern, die ihn zum Empfang der vertraulichen Informationen berechtigen.

Nicht vertraulich behandelt werden müssen Informationen, die (i) bei Vertragsschluss allgemein bekannt waren oder nach Vertragsschluss allgemein bekannt wurden ohne dass dies auf einen Verstoß gegen die geschlossenen Vereinbarung beruht (ii)aufgrund eines Gerichtsbeschlusses oder einer vollstreckbaren Anordnung einer Behörde offengelegt werden müssen. In diesem Fall ist der LN oder der Nutzer verpflichtet, alle zumutbaren Anstrengungen zu unternehmen um den Schaden bei einer solchen potentiellen Offenlegung so gering wie möglich zu halten. (iii) Informationen, bei Vertragsschluss schon bekannt waren ohne dass dies auf Vertragsbruch oder einen Gesetzesverstoß beruht.

Angestellten dürfen die vertraulichen Informationen nur insoweit zugänglich gemacht werden, wie dies zur Erfüllung von deren Aufgaben unbedingt notwendig ist. Angestellte müssen die vorgenannten Vorschriften ebenfalls einhalten, soweit sie arbeitsrechtlich dazu verpflichtet werden können. An Berater dürfen vertrauliche Informationen nur weitergegeben werden, wenn diese berufsmässig zur Geheimhaltung verpflichtet sind, wie Rechtsanwälte, Steuerberater oder Wirtschaftsprüfer.

Die vorgenannten Verpflichtungen sind zeitlich nicht beschränkt sondern bestehen nach Vertrags-ende unbegrenzt weiter.

15. Erfüllungsort

Der Lizenzschlüssel wird von perform IT mit der aktuellen Version der Software 10 Tage nach Erhalt und Annahme des Auftrags zur Verfügung gestellt.

perform IT hat die vertraglichen Pflichten erfüllt, in dem die Software am Knotenpunkt des Rechenzentrums zur Verfügung gestellt wird. Die Vertragsparteien vereinbaren als Erfüllungsort für beide Seiten Nürnberg.

16. Exportbeschränkungen

Der LN verpflichet sich sicherzustellen, dass die Software in kein Land geliefert und in keiner Weise benutzt wird die die Ausfuhrkontrollregelungen irgendeines Landes verletzen. Die Vereinbarung wird unter der Voraussetzung geschlossen, das die Software im Einklang mit diesen Gesetzen genutzt wird.

17. Gewährleistung

Gewährleistung und verschuldensunabhängige Haftung gemäß §536a BGB für Mängel der Software, die bereits bei Vertragsschluss bestanden haben, sind ausgeschlossen.

Ungeachtet dessen soll perform IT während der Laufzeit dieser Vereinbarung gewährleisten, dass die Software die vertraglich zugesicherten Eigenschaften und Spezifikationen hat. Alle Mängel sollen von perform IT in einem angemessenen Zeitraum ab Meldung durch den LN behoben werden. Mängel sind unverzüglich und in schriftlicher Form zu rügen.

18. Haftungsbeschränkung

perform IT ist nur für solche Schäden unbeschränkt haftbar, die auf Vorsatz oder grobe Fahrlässigkeit beruhen. Weiterhin gilt die unbeschränkte Haftung für Schäden an Leib und Leben oder Ansprüche aus dem ProdHaftG. In allen anderen Fällen ist die Haftung -soweit dies rechtlich zulässig ist- wie folgt beschränkt:

- Bei Vertragsverletzungen, denen lediglich leichte Fahrlässigkeit zugrundeliegt, ist perform IT nur für typische, vorhersehbare direkte Schäden bis zu einer Höchstsumme von (i) 5.000 EUR für Sachschäden und (ii) 1.000 EUR für Vermögensschäden pro Jahr haftbar.

- Die Haftung für Schäden aufgrund der Verletzung unwesentlicher Vertragspflichten aufgrund leichter Fahrlässigkeit wird ausgeschlossen.

- “Wesentliche Vertragsverpflichtungen” sind Pflichten, die für die Durchführung des Vertrages wesentlich sind und bei denen die andere Vertragspartei darauf vertrauen kann, dass sie erfüllt werden.

- perform IT haftet nicht für Schäden, die durch unerlaubte Eingriffe des LN in den Arbeitsablauf entstehen. Dem stehen Eingriffe gleich, die dem LN zuzurechnen sind.

- Die Verpflichtung des LN zur Schadensminderung bzw. Verhinderung - insbesondere bei Datenverlust –bleibt unberührt. Soweit er nicht täglich Daten auf seperaten Datenträgern gesichert hat, können Sie im Zusammenhang mit Datenverlust keine Schadensersatzansprüche geltend gemacht werden.

- perform IT haftet nicht für Schäden oder Nachteile die aus der Abschaltung des Systems oder eines Teils davon resultieren, soweit dies für Wartungs- oder Reparaturarbeiten notwendig ist.

- Die hier aufgeführten Haftungsbeschränkungen gelten auch für alle Angestellten, Geschäftsführer, verbundene Unternehmen und Erfüllungsgehilfen von perform IT.

19. Schadenseratzpflicht bei der Verletzung geistigen Eigentums/Urheberrechtsverletzungen

Der LN verpflichtet sich, perform IT, seine verbundenen Unternehmen, Tochterunternehmen, leitende Angestellte, Vertreter, Partner, Mitarbeiter und Lizenzgeber für alle Verluste, Schäden, Klagen, Ansprüche, Forderungen, Strafen, Verbindlichkeiten, Kosten oder Aufwendungen, Vergleiche, Urteile, Schiedssprüche und Aktionen jeglicher Art einschliesslich der angemessenen Anwaltsgebühren und Kosten zu entschädigen und schadlos zu halten, (insbesondere tatsächliche und Folgeschäden) die aus einer Verletzung der Rechte am geistigen Eigentum oder der Urheberrechte von perform IT oder Dritter entstehen.

20. Rechtswahl, Gerichtsstand

Für diese Vereinbarung und für alle Streitigkeiten, die zwischen den Parteien entstehen, gilt ausschließlich deutsches materielles Recht mit Ausnahme der Bestimmungen über Kollissionsrecht. Die Anwendung des UN-Übereinkommens über den internationalen Warenkauf (CISG) ist ausgeschlossen. Der ausschliessliche internationale und nationale Gerichtsstand für alle Streitigkeiten, Ansprüche und Rechtsstreitigkeiten zwischen den Parteien aus oder im Zusammenhang mit der vorliegenden Vereinbarung ist Nürnberg. Ungeachtet dessen, behält sich perform IT das Recht vor, an einem anderen für den LN zuständigen Gericht zu klagen.

21. Diverses

Vertragsänderungen

Alle Mitteilungen, Änderungen, Anpassungen und Benachrichtigungen, die diese Vereinbarung betreffen, sowie die Aufhebung des Schriftformerfordernisses, haben in schriftlicher Form zu erfolgen. Die Parteien sind sich darüber einig, dass keine zusätzlichen mündliche Vereinbarungen existieren.

Übertragung von Rechten und Ansprüchen

Die Parteien sind sich einig, dass es perform IT freisteht, alle Rechte, Ansprüche, etc. aus dieser Vereinbarung an Dritte zu übertragen, einschliesslich aber nicht beschränkt auf die Übertragung von Forderungen zum Zwecke der Refinanzierung.

Zurückbehaltungsrecht und Aufrechnung

Das Recht zur Aufrechnung und Zurückbehaltung besteht nur im Hinblick auf Forderungen und Ansprüchen die unbestritten oder gerichtlich festgetellt sind.

Salvatorische Klausel

Sollten eine oder mehrere Bestimmungen dieser Vereinbarung rechtswidrig oder nicht durchsetzbar oder aus irgendeinem Grund ganz oder teilweise ungültig sein, so wird dadurch die Gültigkeit der übrigen Bestimmungen nicht berührt. Die rechtswidrige, nicht durchsetzbare oder unwirksame Bestimmung (oder der jeweilige Teil davon) gilt als aus dieser Vereinbarung gestrichen und durch eine Bestimmung ersetzt, die rechts gültig und durchsetzbar ist und der wirtschaftlichen Absicht der Parteien in bestmöglicher Art und Weise dient.

General Terms and Conditions

1. General Provisions

The provision of services is conditioned upon the acceptance of the General Terms and Conditions (Agreement). This Agreement is made between perform IT GmbH (perform IT) and (L) the licensee, in case L acts on behalf of a third party, he confirms that he is authorized to bind the third party to this Agreement. If L and the user of the license are not identical, L undertakes to oblige the user to comply with the terms of use specified in the following clauses and to inform him of all contents of these General Terms and Conditions which are usage-related (this also relates to clauses which do not explicitly contain the word “user”).

Distributors are also obliged to ensure that with any sub-licensing (whether single or in a chain of sub-licensing by additional Distributors) the user-related content of this Agreement will be passed on to the user /all users in the chain and he / they will be obliged to comply with the rules.

perform IT reserves the right to modify, change or amend this Agreement. In the event that such amendments change the scope of services to be provided by perform IT or the remuneration thereof, they shall be communicated to L at minimum 4 (four) weeks prior to their coming into legal effect. In this case, L shall be entitled to terminate the Agreement effective as of the date on which the amended conditions would have taken legal effect. If no rejection from L is received by perform IT within the pre-notice period of four weeks, the amended conditions shall be deemed implemented into the Agreement.

The license(s) shall be provided by perform IT only as web-application and for one named user each (user related license). For log-in into the secured area of the landing page, the user shall be provided with log-in data (user name and passcode). He is obliged to keep his access information strictly confidential, i.e. treat the same as confidential information and not disclose his user name or / and password to any other person. In case of a breach of this obligation perform IT reserves the right to take legal action.

Any general, standard or other terms and conditions used by L are hereby formally rejected and shall in no way whatsoever be or become part of or otherwise be implemented into the  Agreement, even if such general or standard terms of conditions have been enclosed by L to RfPs, purchase orders, declarations of acceptance, etc.

2. Definitions

Distributor: A natural person or a legal entity who distributes the products of perform IT in his own name and for his own account. The Distributor must conclude a distribution contract with perform IT, which establishes the distribution relationship and refers to the Agreement with regard to the rights and obligations herein. The contract may contain special rules which then precede the Agreement.

Licensee (L): L can be a natural person or a legal entity, he does not have to be identical with the user and he can also be a Distributor.

Order Sheet: By L signing the Order Sheet and perform IT accepting or carrying out the order, a contractual relationship is entered into. The Order Sheet contains all necessary details concerning performance and consideration, name of the user(s) and a reference to the Agreement and the data protection guidelines.

perform IT: perform IT GmbH only and no affiliated companies pursuant to section 15 et sequentes of the German Stock Corporation Act (AktG). It does also not comprise perform IT’s suppliers or subcontractors.

SaaS: Software as a Service, it includes the Use of the Software for a limited period of time and of cloud capacities provided by a third-party supplier.

Software: The standard software “mySalesDrive.com” as well as customized versions and all trade and service marks used by perform IT for the distribution of the Software, in object code including but not limited to all existing and future components, modules, updates, upgrades and materials in writing, e.g. users manuals. “Software” does not include any third party software components not developed by and not constituting intellectual property of perform IT.

Update: Slight improvements or bug fixes of the Software.

Upgrade: A new version of the Software comprising new functionalities.

Use: The installation, loading, display and running of the Software on the user’s system pursuant to the Agreement as set forth herein.

3. Subject Matter of Agreement/Scope of Service

The subject of this Agreement is granting a simple, non-exclusive, non-transferable, temporally limited right to use the Software (SaaS). Details such as number of licenses, software profile, price or period of Use can be found in the Order Sheet. As far as L acts as Distributor, he has the right to sublicense.
Additional services, including but not limited to customizing, installation, configuration of the Software will be negotiated and charged separately.

For Distributors perform IT will –on demand- provide a customized Software with the Distributor’s logo in a dedicated area of the user interface of the Software. The Distributor is obliged only to use this customized version and has no right and no claim to use SalesDrive in another than this customized version.

In general, the Software makes it possible to calculate TCO (Total Cost of Ownership) for paper outputting-, scanning- and other IT systems. In relation to TCO calculations for a user’s current situation, the users have access to all device data within the Software database. In relation to TCO calculations related to optimization the user will have access to all data that is uploaded by the user into his portfolio.

perform IT shall provide access to the Software via internet connection in object code only (any rights of use in the source code shall not be the subject of the Agreement).

The Use must be in accordance with the Agreement and the Order Sheet.

Third party software or third party services are subject to the respective agreement between the third party and L. perform IT will not be liable for any damages resulting from third party software or third party services.

The foregoing shall apply likewise and in particular for the rendering of signal transmission and other telecommunication services pursuant to section 3 para 24 of the German Telecommunication Act (TKG), which shall in no respect be the subject of the Agreement.

4. Technical Support

For system requirements of “mySalesDrive.com” see www.mySalesDrive.com. If there will be changes perform IT will –if possible- announce those 3 weeks in advance.

Temporal and Contentual Scope

a) Temporal

Support times shall be Monday-Thursday 8.30-17.00 Central European Time (CET) and Friday 8.30 - 16.00 CET, there is no support on German public holidays.

b) Contentual

Support is provided in English and German language.

Support is offered by telephone, email and remotely via e.g. Teamviewer.

Per month and per license the monthly fee includes 2 hours of support. Further requirements will be charged with 60 € plus V.A.T. per commenced half-hour. An exceedance of the free of charge support will be announced to the user in advance.

Support services are limited to help desk services and periodical Updates.

Upgrades will be offered to L when they are available and will be charged.

Technical support means support for technical functionality only, no support concerning commercial matters.

Support is provided for the Software only. Not included are services concerning configuration, installation or bug fixing of third party hard- or software. perform IT is not able to influence a loss of performance resulting from third party hard- or software or services.

Proceeding concerning support requests:

Each Support request that can’t be solved at once, should be confirmed immediately. perform IT will send an answer without any further request.

In this answer, perform IT should have recognized and evaluated the bug. The support staff should have defined a solution approach and should be able to offer a possible work schedule for bug fixing.

If a bug can’t be fixed easily on account of technical reasons, perform IT will inform about the further process by providing a time schedule.

As bug fixing perform IT will provide a solution which solves the problem.

Response Time and Severity Code

The response time for answering the request and for bug fixing are as following:

severity code 1 (S1): critical bug

The product isn’t functional anymore and the user has no possibility to work with it. Essential functions are not available. The bug has caused the standstill or the crash of the product.

response within: 1 working day

bug fixing within: 5 working days

severity code 2 (S2): bug

The product or functions of the product are not fully available. The bug does not concern essential functions which are necessary for further Use. The user is very much restricted in his work flow.

response within: 1 working day

bug fixing within: 10 working days

severity code 3 (S3): slight bug

The product shows a slight bug which does not restrict the essential functions. The work flow of the user is limited slightly only or not at all.

response within: 5 working days

bug fixing within: 20 working days

severity code 4 (S4): maintenance

The product is working but changes are necessary which can be implemented within the next Update.

response within: 10 working days

bug fixing within: 30-40 working days

5. Remuneration

The monthly remuneration shall include the user’s fee, support up to the agreed extent and update of the Software. The costs for the usage of the cloud are charged additionally, according to the Order Sheet either as volume related prices or as a package price.

The currency is €.

All prices shall be strictly net exclusive of applicable statutory VAT  and any other additional costs including but not limited to Upgrades of the Software, training, web sessions, necessary hardware, licenses of third party software e.g. Microsoft Office, costs for telecommunication services, etc.

Taxes, tariffs and other levies (if any) are to be borne by L. To the extent permissible under applicable law L shall indemnify and hold harmless perform IT from any related claims of tax authorities and other third parties.

The remuneration per month for SaaS shall be invoiced and payable and due as set forth in the Order Sheet.

Payments under this Agreement can be made via direct debit; L may submit a completed and signed direct debit authorization form. With regard to any direct debit cancelled and/or actually not finally credited to perform IT, L will be liable for the related costs if and to the extent the cancellation of the debit is attributable to L’s fault.

The pre-notification period is limited to two days.

If L does not agree with direct debit, for each invoice a handling fee of 5 € will be charged.

Default interest and its accrual on payments under the Agreement shall be in accordance with the statutory provisions.

perform IT may require an amendment of the remuneration at perform IT’s reasonable discretion. The respective communication shall be made to L at minimum 4 (four) weeks prior to their coming into legal effect. In this case, L shall be entitled to terminate the Agreement effective as of the date on which the amended conditions would have taken legal effect. If no rejection from L is received by perform IT within the pre-notice period of four weeks, the amended conditions shall be deemed implemented into the Agreement.

In the event of any payment default on L’s side, perform IT shall, save for any other legal entitlements and remedies available to perform IT, be entitled to suspend its services under the  Agreement, in particular to close L’s account, cancel L’s log-in details and block access immediately without any warning or prior notice being required. perform IT shall use commercial reasonable efforts to inform L by e-mail in due time on any such measure.

6. Subcontracting

L accepts that perform IT’s obligations under this Agreement are not done by perform IT itself/not on perform IT’s own system and infrastructure, but that perform IT is entitled to elect and to change one or more service providers, subcontractors, etc. with which perform IT may conclude respective contracts providing services (e.g. server and CPU capacity for the performance of perform IT’s services under the Agreement, etc.). perform IT is entitled to elect any service providers/subcontractors at perform IT’s reasonable discretion.

The costs are covered by the monthly payments/remuneration per month for SaaS as far as they do not concern the cloud provider (currently Amazon Web Services Inc., USA). The costs for the usage of the cloud are charged to L according to the Order Sheet either as volume related prices or as package price in addition to the user’s fee.

7. Availability

The hand-over of a copy of the Software on a physical storage media is expressly excluded and waived by L, it is a mere web solution.

perform IT can confirm an availability of the Software of 97% in the annual average relating to a time slot of Monday to Friday 8:00 -17:00 CET excluding German Public holidays.

Additionally there must be a deduction of the availability for perform IT’s own service and maintenance (e.g. to upload Updates, database maintenance, tests, etc.). The deduction will amount to 8 hours a month. This maintenance shall be performed after office hours if reasonably possible.

8. Right of Use

Conditioned upon the timely payment of the remuneration, L shall be granted a simple, non-exclusive, non-transferable right of using the Software. According to the Order Sheet, the right is limited in time to the duration of the running time of the contract and with regard to licenses, the contractually agreed number of named users applies. Sub-licensing or otherwise enabling Use by other than the named user is expressly prohibited, unless L is a Distributor.

Without the prior written approval of perform IT L is not allowed to modify, change, adapt, reproduce, translate, sub-license, distribute or otherwise make available/disseminate, to copy, reverse engineer or decompile the Software or part of it, except within the strict limits for interoperability and other protected purposes set forth in the German Act on Copyrights (UrhRG), L’s mandatory rights under which act shall remain unaffected.

L is also not allowed to copy, distribute or change/amend the user’s manuals. This does not apply for Distributors as far as they have a contractual right or a written permission of perform IT to do so.

Any breach on L’s side of the terms of use, in particular any violation of the limits and restrictions set forth herein above, shall result in an automatic forfeiture and cancellation of any and all rights of Use granted to him. Any such rights shall automatically reverse to perform IT and L shall be obliged to immediately and completely cease the Use of the Software.

9. Data Security/Backups

Any kind of data security and data backup are L’s sole responsibility. It is, therefore, recommended that L performs backups on a regular basis in accordance with his business requirements using the SalesDrive front end functionality in the user interface of the Software. Any liability of perform IT for damages due to data losses shall be expressly excluded, unless such damages should have occurred despite the observation of due state of the art data backup measures on L’s side. In the latter event, the limitations of liability under the Agreement shall apply. The burden of proof for a due state of the art data backup measures shall exclusively vest in L.

Important note for the user regarding data security in connection with the Capture IT App provided by perform IT via App Store:

perform IT strongly recommends that the user switches off the automatic update feature (Settings > iTunes & App Store > Automatic Downloads for Apps/Updates) on his iPad device for the period from the beginning to the end of the onsite survey including the upload of all his data from the local iPad storage to the cloud solution.

The user has also to make sure that he has performed all offline backups of his iPad device incl. all apps and their data before activating the automatic update again or updating the capture IT app manually. Otherwise he would run the risk of losing his locally stored project data if something will go wrong during the update process of this offline application.

The user is solely responsible for backups of his iPad. Even if he is benefitting from a framework agreement where perform IT has taken over the task of performing backups, this only relates to backups of mySalesDrive.com in the cloud. Backups of offline software are always the user’s own responsibility and perform IT has no obligations to assist him in performing and concerning these offline backups any liability of perform IT is expressly excluded.

10. Term of Agreement / Termination

The Agreement is entered into for a fixed term of 12 months. Upon expiration of the initial term of 12 months, the Agreement shall renew automatically for terms of additional 12 months each, unless terminated by either party in writing observing a notice period of three months prior to the end of any respective extension period.

The right of either party to terminate the Agreement for good cause with immediate effect (“Wichtiger Grund” - section 314 of the German Civil Code - BGB) shall remain unaffected.

Good cause shall be deemed given in particular (however, without any limitation), if the terms of use and its limitations set forth in the Agreement are violated by L or the user, e.g. by using the Software in excess of the rights of Use granted to L there in, provided, that such violation is continued by L or the user beyond a reasonable timeline for cease and desist contained in a warning notice from perform IT to him.

Any notices on termination have to be in writing to be legally effective.

11. Obligations after the expiration of the Agreement

After the expiration of the Agreement, all entered data will be deleted from perform IT’s and its providers’ systems within 30 days. At L’s request and expense, the data will be handed over to him on a storage media complying industry standards and to be elected by perform IT at its reasonable discretion. Any such request for the production of data must be made within one week from the date of expiration. perform IT does not guarantee a correct inclusion of the data into the software/platform/system of any new supplier.

12. Web sessions / training events

perform IT offers both L and other interested parties product- and industry-related training events. They can take place online as web sessions or on site, either at perform IT’s site or at a defined location.

For on-site events, travel-, accommodation-, food and other costs either of the participants or the trainer of perform IT will arise. These costs are borne by L.

If an event is booked bindingly, a free-of-charge cancellation is possible up to 6 weeks before the start of the event. Within 6 weeks before the start of the event, the cancellation fee is 30% of the event price, within 4 weeks before the event 50% and within 1 week before the event 80%. L will be given the opportunity to prove that a lesser degree of damage has occurred in individual cases.

13. Intellectual property rights

perform IT’s trademarks and all other intellectual property rights to the products – in particular the Software under this Agreement - shall remain solely in perform IT’s ownership. They may not be used by L or third parties without perform IT’s prior written approval.

It is also acknowledged by the parties that perform IT is free to sell, license and otherwise market the Software to third parties during the running time of the contractual relationship.

14. Confidential Information

„Confidential information” shall mean all information (whether written or in other form) provided to L / the user by perform IT under or in connection with the contractual relationship.

Confidential Information shall include (however, without any limitation), the existence and the commercial conditions of the Agreement itself or any order there under as well as information perform IT may, at perform IT’s reasonable discretion, deem to be proprietary or confidential (including but not limited to perform IT’s trade secrets, know-how and information relating to employees of perform IT, as the case may be).

L / the user shall keep any such documents, data or information received from perform IT in written, electronic or other form strictly confidential and shall refrain from any disclosure or other dissemination to third parties. Furthermore L / the user must inform perform IT about all change in those circumstances that entitle him to receive such information.

No confidentiality obligation shall exist with regard to information, which (i) upon the conclusion of the Agreement was in the public domain or which has become known to the public thereafter other than due to a breach of the Agreement; (ii) information that has to be disclosed pursuant to a decision of a court or an enforceable order of an administrative body, in the event of which L / the user is obliged to mitigate the damage from such potential disclosure with commercially reasonable efforts and (iii) information which was known to L / the user upon the conclusion of the Agreement other than due to a breach of the Agreement or any other law or regulation.

Any Confidential Information shall be disclosed to L’s employees on a strict need-to-know-basis and shall bind his employees in accordance with the foregoing provisions to the extent permissible under employment law. Confidential Information shall be passed to L’s consultants only, if such consultants are bound by a statutory professional secrecy obligation as (or reasonably comparable) to German attorneys-at-law (Rechtsanwälte), tax advisors (Steuerberater) or Certified Public Accountants (Wirtschaftsprüfer).

The foregoing obligations shall not be limited in time and shall survive the termination or other expiration of the Agreement for an indefinite period of time.

15. Place of Performance

License keys will be provided in the current version of the Software within 10 days after the order has been received and accepted by perform IT.

perform IT has fulfilled its contractual obligations by providing the Software at the junction of the data processing center. The contractually agreed place of performance for either party shall be in Nuremberg.

16. Export regulation

L undertakes to ensure that the Software will not be exported or delivered into any country or used in any manner prohibited by the export control laws of any country. The Agreement shall be concluded under condition that the use of the Software is in full compliance of such laws.

17. Warranty

Warranty and strict liability pursuant to section 536a of the German Civil Code (BGB) for defects of the Software existing upon the conclusion of the Agreement shall be expressly excluded.

This notwithstanding, perform IT shall ensure compliance of the Software with its contractually agreed functionalities and specification during the term of the present Agreement. Any defects shall be rectified by perform IT in due time from their reporting by L. Any defects must be reported by L without undue delay and in the written form.

18. Limitation of Liability

perform IT shall only assume full liability for any damage suffered by L / the user which is caused intentionally or by gross negligence on the part of perform IT or any parties called in by, and assisting the latter in contractual performance, or for personal injuries or claims under the German Act on product liability law (ProdHaftG). In all other cases –to the extent permitted by law-, the limitations set out below shall apply:

- In cases involving material breach of contract due to simple negligence, perform IT will only be liable for typically foreseeable direct damages to a maximum of (i) EUR 5,000 for damages to property and (ii) EUR 1,000 for economic losses, each per year.

- Liability for damage caused by breach of a non-material contractual obligation due to minor negligence will be excluded.

- “Material contractual obligations” shall mean obligations being essential for contract performance and of the other contractual party must be able to rely on the fact that such material contractual obligations will be fulfilled.

- perform IT will not accept liability for any damage if L interferes with the work performed by perform IT. This is equivalent to interventions attributable to L.

- L’s obligation to prevent or mitigate damages, in particular in cases involving the loss of data or files, shall remain unaffected. No compensation can be claimed by L for and in connection with the loss of data unless regular backup copies have been created on separate data carriers by L at least on a daily basis.

- perform IT will not assume any liability for damage or disadvantages arising out of the fact that an IT system or part thereof was switched off for, or otherwise affected by, repair or maintenance.

- The limitation of liability herein shall apply likewise to all employees, executives and affiliates of perform IT and any parties called in by, and assisting, the latter in contract performance.

19. Indemnity for IP/Copyright Violation

L agrees to indemnify and hold harmless perform IT, its affiliates, subsidiaries, officers, agents, partners, employees and licensors from and against all losses, damages, actions, suits, claims, demands, penalties, liabilities, costs or expenses, settlements, judgments, awards and actions of whatever kind or nature,  including but not limited to reasonable attorney's fees and costs, including, but not limited to actual and consequential damages that may be suffered or incur arising out of or in connection with the infringement of the rights (including any Intellectual Property Rights) of perform IT or any third party.

20. Choice of Law, Jurisdiction

This Agreement and any dispute arising from the relationship between the parties shall be exclusively governed by German substantive law except for its provisions on the conflict of laws. The UN Convention on the International Sale of Goods (CISG) shall be excluded. The exclusive international and local venue for jurisdiction for any disputes, claims and litigation between the parties out of or in connection with the Agreement shall be before the courts competent for Nuremberg, Federal Republic of Germany. This notwithstanding, perform IT reserves the right to adjudicate and pursue any claims against L in any other court having personal jurisdiction over L.

21. Miscellaneous

Modification of the Agreement

All messages, changes, amendments and notices concerning this Agreement and the waiver of the written form requirement have to be provided in writing. The parties acknowledge that no verbal side-agreements exist.

Transfer of rights and entitlement

It is hereby acknowledged that perform IT is free to transfer any rights, claim, entitlements, etc. under the Agreement to third parties, including, but not limited to the transfer of accounts receivables for refinancing purposes.

Retention and Set-Off

A right of set-off or retention exists only with regard to such claims and entitlements, which are undisputed or have been decided upon by a court in a res iudicata judgment.

Severability of the Agreement

If any term or provision of this Agreement should be found to be unlawful or unenforceable, or invalid in whole or in part for any reason, the validity of the remaining provisions shall remain unaffected. The unlawful, unenforceable or invalid provision (or the respective part thereof) shall be deemed deleted from this Agreement and deemed replaced by a provision which is legal, valid and enforceable and serves the economic intent of the parties in the best possible way instead of the deleted provision.

Personal designations

The masculine personal designations used in the Agreement should be construed as gender-neutral.
